This Legal Counsel role offers a unique opportunity to lead fund governance, complex transaction structuring, negotiation and regulatory compliance within a fast-paced, fully remote environment.

Our client is a fast-scaling, fully remote crypto-fiat banking and investment platform who, supported by a diverse team across 40+ countries, provide secure banking services and innovative structured products to a global clientele, including high-net-worth individuals, institutional investors, and crypto-native participants. Their hybrid business model integrates stringent regulatory compliance and traditional financial discipline with pioneering digital asset strategies, positioning the organisation to drive sustainable growth and reshape global finance. 

 

The Legal Counsel’s Mission 

You will be the legal cornerstone of the fund and banking operations, ensuring robust compliance and governance while enabling the execution of complex structured finance and derivatives transactions. Reporting directly to the Chief Legal Officer, you will manage legal negotiations, maintain fund compliance, and partner with external managers to support sophisticated investment strategies. 

 

Key Responsibilities 

Transaction Structuring & Execution 

·        Lead negotiation and execution of legal agreements for fund investments, including structured finance transactions, derivatives, lending agreements, and strategic opportunities aligned with the fund’s objectives.

·        Conduct legal assessments of new investment opportunities, focusing on complex financial instruments and ensuring compliance with banking, investment, and derivatives regulations. 

External Manager Oversight 

·        Serve as the legal interface between the company and the fund’s external investment manager, maintaining legal integrity and supporting effective collaboration.

·        Drive continuous enhancement of the fund’s legal framework in partnership with internal and external stakeholders, aligned with best practices in financial market operations. 

Fund Governance & Control 

·        Review, draft, and advise on critical fund documentation, including constitutional documents, offering memoranda, investment management agreements, and investor contracts.

·        Ensure ongoing alignment of fund structures and operations with legal, regulatory, and governance requirements, including derivatives disclosures and compliance. 

Member Offering & Disclosures 

·        Collaborate with product and compliance teams to ensure customer-facing fund materials (e.g., investor updates, risk disclosures, marketing collateral, terms & conditions) are accurate, clear, and compliant, particularly regarding structured and derivative product offerings.

Broader Legal Responsibilities 

·        Provide commercial legal advice across fintech, banking, and digital asset operations, supporting compliance and strategic initiatives.

·        Manage vendor contracts, commercial negotiations, and cross-functional legal projects.

·        Monitor evolving regulatory landscapes across key jurisdictions (e.g., Gibraltar, UK, Europe) to keep the business future-fit. 

 

Key Requirements

We prioritise candidates who can demonstrate all three of the following, ideally with 5+ years hands-on PQE experience:

·        Loan Documents: Expertise in drafting and negotiating credit agreements, multi-lender agreements (MLA), Revolving Facilities, ISDA’s, GMRA’s and securities packages.

·        Fund Documents: Proficient in drafting and negotiating Cayman offering memoranda, constitutional documents, subscription agreements, side letters and CIMA filings.

·        Financial Product Documents: Experienced with drafting and negotiating bespoke structured notes, total return swaps (TRS), participation certificates or similar complex financial instruments.

Additionally, you will have:

·        5+ years PQE as a qualified lawyer with strong financial services, investment funds, fintech, or crypto experience.

·        Expertise in traditional banking, financial market structuring, and derivatives transactions is highly desirable.

·        Qualified UK solicitor or equivalent, with experience in the UK, Gibraltar, or European markets. In-house counsel experience preferred.

·        Deep understanding of investment fund documentation, investment regulations, derivatives documentation, and DLT frameworks.

·        Exceptional research, drafting, and contract negotiation skills.

·        Proven ability to work collaboratively in fast-paced, cross-functional environments.

·        High attention to detail, particularly in regulatory and member-facing materials.

·        Self-starter mindset, capable of independently managing high-impact projects.
